Affiliate Program Operating Agreement

This Affiliate Program Operating Agreement (“Agreement”) is made between Octofy.com (“we,” “us,” “our,” or “Octofy”) and you (“you,” “your,” or “Affiliate”), collectively referred to as the “Parties.”
By joining or participating in the Octofy Affiliate Program (“Program”), you agree to comply with and be bound by the terms and conditions outlined below.

1. Enrollment in the Program

To begin the enrollment process, you must submit a complete affiliate application through our GoAffPro portal. We will evaluate your application and notify you of acceptance or rejection.
We reserve the right to reject any application at our sole discretion, particularly if your website or promotional method is deemed inappropriate or inconsistent with our brand image.

2. Affiliate Responsibilities

As an Octofy Affiliate, you agree to:

  • Promote Octofy products and services honestly and ethically.

  • Ensure your website, content, and marketing comply with all applicable laws, including advertising standards and data protection regulations.

  • Avoid any misleading, spam, or deceptive marketing practices.

  • Refrain from using paid ads (Google, Meta, etc.) on Octofy’s brand keywords or domain names.

  • Keep your account details up to date, including your email, payment details, and promotional channels.

3. Affiliate Links and Promotion

  • Upon approval, you will receive a unique referral link or coupon code via your GoAffPro dashboard.

  • You may place these links on your website, emails, or social media platforms to promote Octofy products.

  • You must not alter, misrepresent, or disguise your affiliate relationship with Octofy.

4. Commission Structure

  • Affiliates earn 10% commission on every qualifying purchase made through their unique referral link or coupon code.

  • Commissions are calculated on the product subtotal (excluding VAT, shipping, discounts, and refunds).

  • If a customer cancels or returns their order, the associated commission will be voided.

5. Payment Terms

  • Commission payments are issued 30 days after sale confirmation to allow for processing and potential returns.

  • Payments are made in GBP (£) via bank transfer, PayPal, or Stripe.

  • Affiliates are responsible for ensuring their payment details are accurate.

  • Minimum payout threshold: £20 GBP. Earnings below this threshold will roll over to the next cycle.

6. Compliance and Restrictions

Affiliates must not:

  • Use “Octofy” or any of our trademarks in domain names, social media handles, or paid ad keywords.

  • Offer unauthorized discounts or incentives not approved by Octofy.

  • Mislead customers by claiming to represent Octofy or act as an employee.

  • Engage in spam, cookie stuffing, or false referrals.

Violation of these terms may result in suspension or termination from the program, and forfeiture of unpaid commissions.

7. Intellectual Property

Octofy grants you a limited, non-exclusive, revocable right to use our logos, banners, and marketing materials solely for the purpose of promoting our products within this program.
You must not modify these assets or use them in a way that damages Octofy’s reputation or brand.

8. Term and Termination

  • This Agreement begins upon your acceptance into the Program and remains in effect until terminated by either party.

  • You may terminate participation at any time by giving written notice to Octofy.

  • Octofy may terminate this Agreement immediately if you breach its terms, misuse our brand, or act in bad faith.

9. Relationship of Parties

You are participating in the Program as an independent contractor. Nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture between the Parties.

10. Limitation of Liability

Octofy shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising in connection with this Agreement or the Program.
Our total liability shall not exceed the total commission paid or payable to you under this Agreement.

11. Modification

Octofy reserves the right to modify these terms at any time. Any updates will be posted on the Affiliate Program page, and continued participation in the Program constitutes acceptance of the revised terms.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

By joining the Octofy Affiliate Program, you acknowledge that you have read, understood, and agreed to these terms and conditions.
